Our speakers this month are Dana Cooper and Fran Greene with ADP. 

They will be presenting Business Tax Planning: When Substance Trumps Form.

For more than fifty years, businesses have been bound by the economic substance of a transaction, even when that result varies from its legal form. Richard Shapiro, Tax Director with EisnerAmper LLP, analyzes a recent decision where a purchase price allocation resulted in millions of dollars of tax deductions for a company based on properly interpreting a two-word phrase. Mr. Shapiro also explores whether the use of captive insurance companies is a "must do" idea for businesses or is a looming IRS target. Upon successful completion of this segment, you should be able to:

  • Recognize when to capitalize or expense an item for tax purposes;
  • Identify the facts and outcome in the ABC Beverage case;
  • Recognize the implications of the decision in the Cooper case;
  • Identify situations where the IRS is auditing captive insurance programs.
